Board Meetings

Board Meetings are fully outlined in Article VII of our Bylaws.

Regular & Special Board Meetings

Our Board of Directors meets monthly, and as needed to manage the affairs of the Association. With the exception of Executive Sessions (see below) any Member of the Association may attend and speak at these meetings.

While all non-emergency meetings of the Board are officially announced at least four days in advance by posting the agenda on the community bulletin board, we currently adhere to the following schedule for Regular Meetings:

Sessions of Board Meetings

Board meetings fall into two types of sessions. Meeting flow can shift between these as scheduled or by vote of the board.

  • Regular Session: This session is open to all Members, and generally constitutes the majority of business.
  • Executive Session: This type of session is closed to Members to protect privacy in discussion of confidential matters such as: (1) Pending litigation, (2) Third party contracts, (3) Member discipline, and (4) Personnel matters.

The Board must meet in Executive Session if requested by a Member who may be subject to collection of delinquent assessments, a fine, penalty or other form of discipline, and that member is entitled to attend the Executive Session.

Matters discussed in executive session are noted in a general fashion in the meeting minutes, taking into consideration the need to maintain confidentiality.

Emergency Board Meetings

Emergency meetings may be called for by the President or by any one Member of the Board under circumstances that could not have been reasonably foreseen, that require immediate attention and possible action by the Board, and that of necessity make it impracticable to provide prior notice to the Members as required by the Open Meeting Act.

Minutes of emergency meetings will be taken and ratified at the following Regular or Special Meeting of the Board, and entered into the Association’s Records.

Board Meeting Minutes

The minutes (approved, proposed, or summary) of any Board Meeting, other than those of executive session, will be available to members within 30 days following the meeting.  Such minutes will be distributed to any Member on request and on reimbursement of the Association’s cost of making that distribution.
